Other Events.

On April 21, 2011, AGL Resources Inc. (“AGL Resources”) and Nicor Inc. (“Nicor”) jointly announced that the companies have received early termination of the Hart-Scott-Rodino Antitrust Improvements Act waiting period from the Department of Justice and Federal Trade Commission effective as of April 18, 2011.  A copy of the press release is attached hereto as Exhibit 99.1.
