Item 5.02(b). Departure of Certain Officers.

On July 19, 2013, Ronald A. Robins, Jr. (Rocky), Senior Vice President, General Counsel, Chief Compliance Officer and Secretary of A&F, formally resigned from A&F (such resignation being effective on August 30, 2013, or such later date as may be fixed by agreement) to return to the partnership of Vorys, Sater, Seymour and Pease LLP, outside counsel to A&F, where it is anticipated that Mr. Robins will continue to provide legal services to A&F. He has agreed to remain with A&F through the retention and on-boarding of his successor.
