Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) On January 19, 2016, FirstEnergy Corp. (Company) announced that Thomas N. Mitchell, age 60, has been elected to the Company’s Board of Directors (Board), effective immediately, bringing the size of the Board to 14. Mr. Mitchell has been appointed to serve for a term expiring at the Company’s annual meeting of shareholders in 2016 and until his successor is elected. Mr. Mitchell has extensive experience in the nuclear industry. He is the recently retired president and chief executive officer and director of Ontario Power Generation, Inc., an Ontario-based electricity generation company. He is a former director and member of the leadership and compensation committee of the Electric Power Research Institute. The Board has affirmatively determined that, at January 19, 2016, Mr. Mitchell is an independent director under the regulations of the Securities and Exchange Commission (SEC) and the listing standards of the New York Stock Exchange.
Mr. Mitchell has been appointed to serve on the Board’s Nuclear Committee and will be compensated for his services on the Board in the same manner as the other Board members as described in the Company’s proxy statement for the 2015 annual meeting of shareholders, including an annual cash retainer of $95,000 and an annual equity retainer valued at $135,000, which will be granted under the 2015 Incentive Compensation Plan. There are no arrangements or understandings between Mr. Mitchell and any other person pursuant to which Mr. Mitchell was selected as a director. There are no related party transactions involving Mr. Mitchell that would require disclosure pursuant to Item 404(a) of Regulation S-K.
The Company entered into a Director Indemnification Agreement with Mr. Mitchell on January 19, 2016. The form of Director Indemnification Agreement was previously filed with the SEC on May 7, 2009 as Exhibit 10.1 to the Company’s Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2009 and is incorporated herein by reference.
A copy of the news release issued by the Company announcing the election of Mr. Mitchell is attached as Exhibit 99.1 and is incorporated herein by reference.
