Item 2.02. Results of Operations and Financial Condition.

        On May 3, 2005, Huntsman Corporation (the "Company"), together with certain affiliated companies, issued a press release announcing its results for the three months ended March 31, 2005. The press release is furnished herewith as Exhibit 99.1.
