Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 29, 2015, eBay Inc. (the “Company”) announced that Mr. Paul Pressler had been appointed as: (i) a new member of the Company’s Board of Directors, (ii) a new member of the Company’s Corporate Governance & Nominating Committee, and (iii) a new member of the Company’s Audit Committee, with such appointments to be effective immediately.
Mr. Pressler fills a vacancy created by an increase in the size of the Company’s Board of Directors from 10 to 11, and his term of office will expire at the Company’s 2016 annual meeting of stockholders or until his successor has been elected and qualified.
As a non-employee director, Mr. Pressler is entitled to receive the compensation arrangements described in the Company’s 2015 Proxy Statement under “Compensation of Directors”, as filed with the Securities and Exchange Commission on March 23, 2015. In addition, the Company will enter into its form of Indemnity Agreement with Mr. Pressler, a copy of which has been filed as Exhibit 10.01 to the Company’s Registration Statement on Form S-1 as filed with the Securities and Exchange Commission on July 15, 1998.
There is no arrangement or understanding between Mr. Pressler and any other persons pursuant to which Mr. Pressler was appointed as a director. Furthermore, there are no transactions between Mr. Pressler and the Company that would be required to be reported under Item 404(a) of Regulation S-K.
