Amendment To Certificate of Incorporation

On January 12, 2010, the Company filed a Certificate of Amendment to its Restated Certificate of Incorporation which increased the number of authorized shares of the Company’s common stock from 25 million to 50 million as approved by the shareholders at the Company’s annual meeting on July 29, 2009.

The furnishing of this information shall not be deemed an admission as to the materiality of the information included in this Current Report.  This information is not filed but is furnished pursuant to Regulation FD.
