On August 6, 2014, The Priceline Group Inc., a Delaware corporation (the “Company” or “Priceline”), and Ctrip.com International, Ltd., (“Ctrip”), issued a joint press release announcing an expansion of the current commercial relationship between the Company and Ctrip and the issuance of a convertible note by Ctrip to the Company. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
