Item 2.06.              Material Impairments.

 

On September 23, 2005, Huntsman Corporation’s consolidated subsidiary Huntsman International LLC (“HI”) concluded, in connection with an evaluation of its Australian styrenics business, that a material charge for impairment to the business’ plant and equipment was required. As previously disclosed, the anticipated strengthening of the styrene market has not materialized and the performance of the business has been disappointing. HI’s estimate of the amount of the impairment charge is approximately $50 million, none of which is expected to result in future cash expenditures. HI will record the impairment charge during the third quarter of 2005.
