Item 5.02.                                        Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 31, 2007, at a Board of Directors meeting of Whitney Information Network, Inc. (the “Company”), the Board unanimously elected Ronald S. Simon to the position of Co-President and Chief Operating Officer, and Alfred R. Novas to the position of Co-President and Chief Financial Officer.

On February 2, 2007, the Company issued a press release announcing the appointments of Ronald S. Simon and Alfred R. Novas to these positions.

A copy of the press release is filed as Exhibit 99.1 hereto, the terms of which are incorporated herein by reference.
