(b) Ali Mahdavi, the Vice President, Finance and Administration and principal accounting officer of Affymax, Inc. (the “Company”) resigned as an officer and employee of the Company effective as of May 18, 2007. The Company has retained Mr. Mahdavi as a consultant to facilitate transition management.
