On November 9, 2007, Xcel Energy Inc., a Minnesota corporation (the “Company”), issued a press release announcing an offer to exchange up to $253,979,000 aggregate principal amount of its 5.613% Senior Notes, Series B due 2017, which have been registered under the Securities Act of 1933, as amended, for up to $253,979,000 aggregate principal amount of its outstanding 5.613% Senior Notes, Series A due 2017.  A copy of the press release is filed as exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
