ITEM 5.02

DEPARTURE OF DIRECTORS OF CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

 

On April 24, 2008, Mr. Stephen E. Watson was elected to the Board of Directors of Regis Corporation. Mr. Watson served as President and Chief Executive Officer of Gander Mountain Company from 1997 until his retirement in 2002. From 1973 until his retirement in 1996, Mr. Watson held various executive officer positions with Dayton-Hudson Corporation, including Chairman and Chief Executive Officer of Dayton Hudson Department Stores Co. and President of Dayton Hudson Corporation. Mr. Watson is currently a director of Eddie Bauer Holdings, Inc. and Kohl’s Corporation.

 

Mr. Watson was appointed to serve as a member of the Audit, Compensation and Nominating and Corporate Governance Committees of the Board of Directors. A copy of the press release announcing Mr. Watson’s election to the Board of Directors is attached as Exhibit 99.
