Item 8.01.              Other Events.

 

On August 20, 2010, Old Second Bancorp, Inc. issued a press release announcing that it has terminated its offer to exchange newly issued shares of its common stock for outstanding trust preferred securities issued by Old Second Capital Trust I (NasdaqGS: OSBCP) without accepting for exchange or exchanging any of the securities.  Any trust preferred securities previously tendered pursuant to the exchange offer will be promptly returned to the tendering holders.

 

A copy of the press release is filed as Exhibit 99.1 to this report and is incorporated by reference in this Item 8.01.
