On August 24, 2010, Veeco Instruments Inc. (“Veeco”) issued a press release announcing that its Board of Directors had authorized the repurchase of up to $200 million of Veeco’s common stock over the next year.  Repurchases are expected to be made from time to time on the open market or in privately negotiated transactions in accordance with applicable federal securities laws.  A copy of the press release is furnished as Exhibit 99.1 to this report.
