On October 15, 2014, Sears Holdings Corporation (“Holdings”) issued a press release announcing the filing by Sears Canada Inc. (“Sears Canada”) of a short form prospectus and Form F-10 registration statement relating to the previously announced rights offering by Holdings of up to 40,000,000 common shares of Sears Canada Inc., owned by Holdings and the commencement of such rights offering.  The press release is attached hereto as Exhibit 99.1.
