Item 3.03. Material Modification to Rights of Security Holders.

 

On March 2, 2015, American Express Company (the “Company”) issued 850 shares of Series C Preferred Shares (as defined in Item 5.03 below), which Preferred Shares were deposited against delivery of depositary receipts (the “Depositary Receipts”) evidencing 850,000 Depositary Shares (the “Depositary Shares”), each representing a 1/1,000th interest in a Series C Preferred Share.

 

Under the terms of the Series C Preferred Shares, the ability of the Company to declare or pay any dividend on, make any distributions relating to, or redeem, purchase, acquire or make a liquidation payment relating to shares of its common stock or any preferred shares ranking on a parity with the Series C Preferred Shares (including the Company’s 5.200% Fixed Rate/Floating Rate Noncumulative Preferred Shares, Series B, $1.66 2/3 par value per share) will be subject to certain restrictions in the event that the Company fails to declare and pay full dividends (or declare and set aside a sum sufficient for payment thereof) on its Series C Preferred Shares. The restrictions are set forth in the Certificate of Amendment described in Item 5.03 below.

 

Item 5.03. Amendments to Articles of Incorporation of Bylaws; Change in Fiscal Year.

 

On February 27, 2015, the Company filed a Certificate of Amendment (the “Certificate of Amendment”) with the Secretary of State of the State of New York for the purpose of amending its Restated Certificate of Incorporation to fix the designations, preferences, limitations and relative rights of its 4.900% Fixed Rate / Floating Rate Non-Cumulative Perpetual Preferred Shares, Series C, $1.66 2/3 par value per share (the “Series C Preferred Shares”). The Series C Preferred Shares have a liquidation preference of $1,000,000 per share. The Certificate of Amendment is attached hereto as Exhibit 3.1 and is incorporated by reference herein.

 

Item 8.01. Other Events.

 

The Company closed the sale of the Depositary Shares on March 2, 2015, pursuant to an underwriting agreement, dated February 25, 2015, between the Company and the underwriters named therein (which is attached hereto as Exhibit 1.1).  The terms of the Depositary Shares are set forth in the Deposit Agreement, dated March 2, 2015, among the Company, Computershare Inc., Computershare Trust Company, N.A. and the holders from time to time of the Depositary Receipts (the “Deposit Agreement”) and the form of Depositary Receipt. The Deposit Agreement and the form of Depositary Receipt are attached hereto as Exhibit 4.1 and Exhibit 4.2, respectively, and are incorporated by reference herein.
