National Bank of Greece S.A. (the “Company”) is unable to file, without unreasonable effort and expense, its annual report on Form 20-F for the financial year ended December 31, 2014, within the prescribed time period as the Company needs additional time to finalize the presentation of its U.S. GAAP financial statements for the financial year ended December 31, 2014 and to complete its review of its annual report on Form 20-F following recent management changes which include the appointment of Leonidas Frangiadakis as Chief Executive Officer of the Company and Louka Katseli as non-executive Chairman of the Company’s board of directors on March 23, 2015.
