(the “notes”)

This document (the “supplement”) supplements the Note Prospectus in connection with any secondary market transactions in the notes by us, Scotia Capital (USA) Inc., and any of our respective affiliates. Capitalized terms used but not defined in this supplement have the meanings set forth in the Note Prospectus.

The Initial Level for the notes was defined in the final Pricing Supplement dated February 19, 2016 (the “Pricing Supplement”). The Initial Level was defined as the simple average, based on the Closing Levels of the Reference Asset on the first 10 Business Days to occur on and immediately following the Trade Date.

The final of the 10 Business Days occurred on March 3, 2016. The simple average, based on the Closing Levels of the Reference Asset on the first 10 Business Days to occur on and immediately following the Trade Date, is 1,134.86.

Therefore, the Initial Level for the notes is 1,134.86.
