SUBJECT:

Envision2017 Executive Update:

SEC Effectiveness and Shareholder Vote

We continue to make progress toward merging Envision Healthcare and AMSURG by the end of the year. Earlier this week, the Securities and Exchange Commission (SEC) completed its review of our Form S-4 registration statement and declared it effective, allowing each company to mail proxy materials to its shareholders. The two companies also announced that separate special meetings of shareholders to vote on the proposed merger will take place on November 28, 2016.  These events mark the next major milestones in the process to merge Envision Healthcare and AMSURG.

Each company’s shareholders will receive proxy materials to help them decide how to vote their shares at the special meeting. We recognize that many of our team members are shareholders, so please be on the lookout for the proxy materials.

We will continue to keep you updated and look forward to sharing the results of the shareholder votes.

Thank you for all you do,

William A. Sanger

Chris Holden
