Item 8.01. Other Events.
As previously disclosed, on May 16, 2017, Synchronoss Technologies, Inc. (the Company) received notice (the Notice) from the Listing Qualifications Department of The NASDAQ Stock Market (Nasdaq) indicating that the Company was not in compliance with Nasdaq Listing Rule 5250(c)(1) because the Company had not yet filed its Quarterly Report on Form 10-Q for the period ended March 31, 2017 (the Form 10-Q). The Notice indicated that the Company had until July 17, 2017 to submit a plan to regain compliance with Nasdaqs continued listing requirements.
On July 17, 2017, the Company timely submitted its plan to Nasdaq detailing how the Company plans to regain compliance with Nasdaqs continued listing requirements (the Compliance Plan).
If the Compliance Plan is accepted, Nasdaq may grant the Company an extension of up to 180 calendar days from the Form 10-Qs due date, or until November 6, 2017, to regain compliance. The Company may regain compliance at any time during the extension period upon filing the Form 10-Q with the Securities and Exchange Commission, as well as any subsequent required periodic financial reports that are due within that period. If the Nasdaq staff does not accept the Compliance Plan, the Company will have the opportunity to appeal that decision to a Nasdaq Hearings Panel. The Companys common stock will continue to trade uninterrupted under its current trading symbol, SNCR, on the Nasdaq Global Select Market pending Nasdaqs review of the Compliance Plan.
On July 17, 2017, the Company issued a press release announcing the submission of the Compliance Plan. A copy of the press release is attached as Exhibit 99.1.
