Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 29, 2018, Cubic Corporation (the “Company”) and David H. Buss agreed that as part of his transition to retirement, Mr. Buss will step down from his positions as Senior Vice President, Cubic Corporation and President, Cubic Global Defense (“CGD”), effective October 1, 2018.  Mr. Buss will remain in a part-time role with the Company as Senior Strategic Advisor, CGD and Senior Vice President, Corporate following the October 1, 2018 transition. Following this transition, Mr. Buss will receive an hourly rate of $216.06, his annual target bonus opportunity will be 35% of his base compensation and he will continue to be eligible to vest in his outstanding equity awards during his continued employment with the Company.
