On May
25, 2005, Univest Corporation of Pennsylvania, parent company of Univest
National Bank and Trust Co., issued a press release reporting the retirement of
Alternate Director Dr. Richard Godshall, M.D., and the appointment of Mark
Schlosser as his replacement. Mr. Schlosser is to fill the unexpired term of Dr.
Godshall, M.D. A copy of this press release is attached to this Current Report
on Form 8-K as Exhibit 99.1.
