(b) On January 24, 2007 Mr. Todd Emmel advised Take-Two Interactive Software, Inc. (the “Registrant”) that he will not seek re-election as a director of the Registrant at the Registrant’s next annual stockholder meeting due to his relocation to Boston and increasing demands on his time. On January 30, 2007 Mr. Michael J. Malone advised the Registrant that for personal reasons he will not seek re-election as a director of the Registrant at the Registrant’s next annual stockholder meeting.
