plan that was adopted on February 2, 2006 and amended on May 1, 2007.
The
adoption of this plan and its amendment were publicly announced on
February 8, 2006 and May 3, 2007, respectively. The plan originally
authorized the Company to purchase up to 165,000 shares of its common
stock over a 60-month period in open market and/or private transactions.
As amended, the plan now authorizes the Company to repurchase up
to 5% of
the issued and outstanding shares of Company common stock (or 418,700
as
of April 30, 2007) over the same 60-month period. The plan provides
that
the price at which the shares are purchased may not be less than
the
fair market value of a share of common stock as listed or quoted
on the
