Item 2.02 Results of Operations and Financial Condition.

On April 15, 2009, China Shen Zhou Mining & Resources, Inc. (the “Company”) issued a press release announcing its results for the year ended December 31, 2008. The press release is attached as Exhibit 99.1 this report on Form 8-K.
