Item 2.02 Results of Operations and Financial Condition.
 
On April 21, 2010, Sensata Technologies Holding N.V. issued a press release announcing its financial results for the quarter ended March 31, 2010. The press release is attached hereto as exhibit 99.1 and incorporated by reference herein.
