Item 1.                 Description of Registrant’s Securities to be Registered.
  
This Registration Statement on Form 8-A is being filed in connection with the listing of the common stock, par value $0.001 per share, of China Jo-Jo Drugstores, Inc. (the “Registrant”) on the NASDAQ Stock Market.

A description of the Registrant’s common stock is set forth under the caption “Description of Securities” in the Registrant’s Registration Statement on Form S-1 (Registration No. 333-163879), as initially filed with the Securities and Exchange Commission on December 21, 2009, as subsequently amended (the “Registration Statement”), and in the prospectus included in the Registration Statement. Such portion of the Registration Statement is incorporated herein by reference.
