On May 1, 2008, Safeguard Scientifics, Inc. (the “Company”) issued a press release setting forth the Company’s financial information for the first quarter ended March 31, 2008. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and hereby incorporated by reference.

Effective May 2, 2008, John Loftus voluntarily resigned as Executive Vice President and Managing Director – Technology Group of the Company.

Kevin Kemmerer, formerly Senior Vice President – Technology Group of the Company, was named Senior Vice President and Managing Director – Technology Group of the Company and will take over Mr. Loftus’ role as the head of the Company’s Technology Group.
