(1) The Reporting Person is a general partner of NEA Partners 10, Limited Partnership, which is the sole general partner of New Enterprise Associates 10, Limited Partnership ("NEA 10"), the beneficial owner of the securities. The Reporting Person disclaims ownership, within the meaning of Section 16 of the Securities Exchange Act of 1934, as amended, of the securities held by NEA 10, except to the extent of his pecuniary interest therein.
(2) Warrant net-exercised at 10 day closing average of $7.91. This warrant was originally acquired on October 8, 2002.

Remarks:
In addition to the holdings reported herein, the reporting person directly holds 4,200 common shares and options for 12,500 common shares granted on 8/2/2006, options for 25,000 common shares granted on 8/4/2005, options for 25,000 common shares granted on 8/5/2004 and options for 20,000 common shares granted on 1/23/03, and indirectly holds: (i) 2,355 common shares in the Perry Residential Trust dated 3/27/99, as amended, Mark W. & Mauree Jane Perry, Trustees, (ii) 2 common shares in the MWP Revocable Trust dated 12/01/98, and (iii) 43,756 common shares in the Perry Investment Partnership. These holdings have been previously reported.
