(1) The option vests in five equal annual installments on December 21, 2013, December 21, 2014, December 21, 2015, December 21, 2016, and December 21, 2017.
(2) The exercise price was converted from C$3.30 based on the December 21, 2012 closing rate of exchange of 0.993 Canadian dollars per U.S. dollars as quoted by Reuters. The actual exercise price will be the Canadian dollar amount regardless of the exchange rate on the date of grant or of exercise.
