Announcement of Tender Offer for Repurchase of Shares

 

TOKYO, JAPAN, August 4, 2004 — NTT DoCoMo, Inc. announced today it decided to effect a tender offer for repurchase of its own shares on August 5, 2004.

 

1. Purpose of share repurchase

 

Based on the resolution adopted at the Ordinary General Meeting of Shareholders held on June 18, 2004, which authorized its board of directors to repurchase its shares under the provisions of Paragraph 1, Article 210 of the Commercial Code of Japan, NTT DoCoMo decided to effect this tender offer in order to improve capital efficiency and to implement flexible capital policies in response to the changing business environment.

 

2. Details of resolution adopted at the Ordinary General Meeting of Shareholders held on June 18, 2004, which authorized repurchase of its own shares

 

  (1) Class of shares to be repurchased: Common Stock

 

  (2) Number of shares to be repurchased: up to 2,500,000 shares

                                           (up to 4.98% of shares in issue)

 

  (3) Aggregate purchase price of shares: up to 600 billion yen

 

3. Tender offer period

 

From and including, Thursday, August 5, 2004 to and including, Wednesday, August 25, 2004

 

4. Purchase price

 

183,000 yen per share

 

5. Basis of the calculation of the purchase price

 

The purchase price is discounted 3.0% from the average of the regular way closing prices of shares of NTT DoCoMo on The Tokyo Stock Exchange, Inc. for the last 20 days (from and including, July 16, 2004 to and including, August 4, 2004), excluding any days with no transactions (with an amount less than a full thousand yen being rounded to the nearest thousand, with 500 rounded up).

 

6. Number of shares planned to be purchased

 

1,912,568 shares

 

7. Amount of funds necessary for purchase

 

350,094,944 thousand yen (including fees)

 

8. Certain other condition on purchase
