ITEM 8.01 OTHER EVENTS.
News Corporation is filing this Amendment No. 1 to its Current Report on Form 8-K which disclosed results for the fiscal year ended June 30, 2004 and was filed on November 24, 2004. The Form 8-K included the annual financial statements for Gemstar-TV Guide International, Inc. for its then most recent fiscal year end, December 31, 2003. This Amendment No. 1 is being filed solely to amend Exhibit 99.1 Part II Item 8 “Financial Statements and Supplementary Data” to now include the annual financial statements for Gemstar-TV Guide International, Inc for the fiscal year ended December 31, 2004.
