(b) On April 25, 2005, Luis R. Tinoco, a member of the registrant’s Board of Directors (the “Board”), notified the registrant of his desire to resign from the Board effective immediately. The registrant had previously advised Mr. Tinoco that he would not be nominated for reelection at the annual meeting of shareholders.
