Item 1.01. Entry into a Material Definitive Agreement

 

On June 14, 2005, Learning Tree International USA, Inc., a wholly owned subsidiary of Learning Tree International, Inc. a Delaware corporation, entered into a facility lease agreement with John Hancock Life Insurance Company (U.S.A.) a wholly owned subsidiary of Manulife Financial Corporation. The facility lease is a ten year lease with the termination clause after five years with twelve months notice. The lease agreement includes twelve months free rent. The lease agreement is for the premises of 11,019 square feet located at Corporate Schaumburg Center, 1501 East Woodfield Road, Suite 105-North, Schaumburg, Illinois 60173, at the average annual rate of $18.06 per square foot, totaling an average annual rent payment of $199,003.
