As of November 16, 2005, there was $175,000,000 aggregate principal amount of Convertible Notes outstanding.

This Amendment No. 2 amends and supplements the Issuer Tender Offer Statement on Schedule TO filed by Massey Energy Company, a Delaware corporation (the “Company”), on November 23, 2005, as amended and supplemented by Amendment No. 1 thereto filed by the Company on December 12, 2005 (as amended and supplemented, the “Schedule TO”). The Schedule TO relates to the Company’s offer to exchange shares of its common stock, par value $0.625 per share, and a cash payment for any and all of its outstanding 2.25% Convertible Senior Notes due 2024 upon the terms and subject to the conditions set forth in the Offer to Exchange, dated November 22, 2005 (the “Offer to Exchange”), and in the related Letter of Transmittal (the “Letter of Transmittal”), which, as amended or supplemented from time to time, together constitute the exchange offer, copies of which were previously filed as Exhibit (a)(1)(A) and Exhibit (a)(1)(B), respectively, to the Schedule TO. This Schedule TO is filed in satisfaction of the reporting requirements of Rule 13e-4 under the Securities Exchange Act of 1934, as amended. The exchange offer is being made by the Company pursuant to an exemption from registration under Section 3(a)(9) of the Securities Act of 1933, as amended.

 

The information in the Offer to Exchange and the Letter of Transmittal is incorporated in this Amendment No. 2 by reference to all of the applicable items in the Schedule TO, except that such information is hereby amended and supplemented to the extent specifically provided herein.

Items 1, 2, 4(a)(1), 5, 6, 7, 8 and 11 of the Schedule TO are hereby amended and supplemented by adding the following:

 

On December 16, 2005, the Company reported the pricing information for the Company’s tender offer for any and all of its outstanding $220.1 million in aggregate principal amount of 6.95% Senior Notes due 2007 (the “6.95% Notes”) pursuant to the Company’s previously announced tender offer and consent solicitation for the 6.95% Notes. The press release issued by the Company on December 16, 2005 reporting the pricing information for the Company’s tender offer for the 6.95% Notes is attached hereto as Exhibit (a)(5)(E) and incorporated herein by reference.

 

The first paragraph “Documents Incorporated by Reference” on page 50 of the Offer to Exchange is hereby amended by deleting such paragraph in its entirety and replacing it with the following:
