Item 1.01. Entry into a Material Definitive Agreement.

On March 16, 2006, Southwest Gas Corporation (the “Company”) entered into a Sales Agency Financing Agreement (the “Agreement”) with BNY Capital Markets, Inc. (“BNY”) relating to the issuance and sale of up to $45 million aggregate amount of shares (the “Shares”) of the Company’s common stock, par value $1.00 per share (“Common Stock”) over a twenty-four month period commencing on the execution of the Agreement.

The Shares will be issued pursuant to the Company’s shelf registration statement (the “Registration Statement”) on Form S-3 (File No. 333-106419), which was declared effective by the Securities and Exchange Commission on April 15, 2004.

The Agreement is filed as Exhibit 1.1 to this Current Report on Form 8-K (this “report”), and the description of the material terms of the Agreement is qualified in its entirety by reference to that exhibit. For a more detailed description of the Agreement, see the disclosure under the caption “Plan of Distribution” contained in the Company’s prospectus supplement, dated March 16, 2006 (the “Prospectus Supplement”), to the Prospectus dated April 15, 2004, as previously supplemented. The Prospectus Supplement, the Prospectus and all other supplements to the Prospectus have been filed with the Securities and Exchange Commission pursuant to Rule 424(b) under the Securities Act of 1933, which disclosure is hereby incorporated reference.
