Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
(b) On April 17, 2006, James Wall, Senior Vice President and Chief Financial Officer, informed Core-Mark Holding Company, Inc. (the “Company”) that he intends to retire, as soon as the Company can identify a successor. The Company has engaged an executive search firm to locate suitable candidates for the position. On April 21, 2006, the Company issued a press release announcing that Mr. Wall has notified the Company that he intends to retire, a copy of which is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
