ITEM 8.01. OTHER EVENTS.
This Current Report on Form 8-K is being filed to update the historical financial statements included in International Paper Companys Annual Report on Form 10-K for the year ended December 31, 2005, as amended by Form 10-K/A (the 2005 Form 10-K) to reflect that the Companys Kraft Papers business is now being treated as a discontinued operation.
During the first quarter of 2006, in connection with the evaluation of strategic options for certain businesses under its previously announced Transformation Plan, the Company determined that the sale of its Kraft Papers business was in the best interests of the Companys shareholders, and that the accounting requirements under Statement of Financial Accounting Standards No. 144, Accounting for the Impairment or Disposal of Long-Lived Assets (SFAS No. 144) as a discontinued operation were met. Accordingly, the operating results of the Kraft Papers business were classified as a discontinued operation in the Companys Quarterly Reports on Form 10-Q for the periods ended March 31, 2006 and June 30, 2006.
The Company is filing this Current Report on Form 8-K to reflect the impact of this reclassification as a discontinued operation on previously issued financial statements. This will permit the Company to incorporate these financial statements by reference in future SEC filings.
This reclassification of the Kraft Papers business from continuing operations to discontinued operations, and the associated reclassification of its assets and liabilities as held for sale, is set forth below in the various sections of the Companys 2005 Form 10-K. In addition, the assets and liabilities of the Coated and Supercalendered Papers business have been reclassified as assets and liabilities of businesses held for sale based on the approval of a plan to sell this business in the first quarter of 2006. These sections have not otherwise been updated for events occurring after the filing date of the 2005 Form 10-K.
