Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On July 19, 2007, the Board of Directors of Regions Financial Corporation (“Regions”) approved an amendment to Regions’ By-laws relating to the execution of instruments and documents by Regions’ senior officers. The amendment approved was to insert a new Section 12 “Execution of Instruments and Documents” to Article V “Miscellaneous”. The complete text of the amendment is included in Exhibit 3.2 to this report.
