Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 31, 2007, Ambrose L. Schwallie resigned as the registrant’s chief executive officer. The board of directors of the registrant has elected Bernard H. Cherry, the current chairman of the registrant’s board of directors, as interim chief executive officer effective immediately. Mr. Cherry will retain his position as chairman of the board.
