Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e) On December 16, 2009, the Compensation Committee of the Board of Directors of Rubicon Technology, Inc. (the “Company”) agreed to increase the salary of Raja Parvez, the President and Chief Executive Officer of the Company, by $77,500. The increase in compensation, which is effective January 1, 2010, is in lieu of providing Mr. Parvez with reimbursement for commuting expenses from his principal residence in Pennsylvania, which has been a contractual benefit provided to Mr. Parvez through December 31, 2009 under the terms of his employment agreement with the Company.
