Special Mandatory Redemption:    If the issuer does not consummate the merger with Hewitt on or prior to March 31, 2011, or the Merger Agreement is terminated at any time prior thereto, then the issuer must redeem all of the Notes at a redemption price equal to 101% of the aggregate principal amount of the Notes, plus accrued and unpaid interest from the later of the date of initial issuance, or the most recent date to which interest has been paid or duly provided for, to but excluding the Special Mandatory Redemption Date. Upon consummation of the offering of the Notes, the issuer will deposit the net proceeds into an escrow account.
