In connection with not standing for re-election to the board of directors of NETGEAR, Inc. (the Company), Mr. George Parker no longer serves as a member of the Companys board of directors effective immediately following the Companys Annual Meeting of Stockholders held on May 24, 2011.

The Annual Meeting of Stockholders of the Company was held on May 24, 2011, at the Companys headquarters located at 350 East Plumeria Drive, San Jose, California, 95134, pursuant to the Notice sent on or about April 13, 2011 to all stockholders of record at the close of business on March 28, 2011.
At the meeting, 33,770,029 shares were represented in person or by proxy, which constituted a quorum. The results of the four proposals were as follows:
