Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 16, 2011, the Board of Directors of the Company appointed Martin D. Madaus, the Chairman and Chief Executive Officer of Quanterix Corporation and former President and Chief Executive Officer of Millipore Corporation, a director of the Company, effective December 1, 2011. Dr. Madaus, who will stand for election by shareholders at the Company’s 2012 Annual General Meeting of Shareholders, has been appointed to serve on the Compliance Committee of the Board of Directors. As a non-employee director of the Company, Dr. Madaus will receive compensation as described in the “Director Compensation” section of the Company’s 2011 Proxy Statement.
