The purpose of the Annual Meeting is to take the following action:
The Board of Directors recommends that you vote FOR the following.

2. | The approval of the Companys 2013 Omnibus Incentive Plan. |
3. | The approval of an amendment to the Companys Articles of Incorporation to allow majority voting for the election of directors. |
4. | The ratification of the appointment of PricewaterhouseCoopers LLP as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2013. |
5. | An advisory vote to approve the compensation of the Companys named executive officers. |
