Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 22, 2013, William Phelan tendered his resignation as an Executive Vice President of Carbonite, Inc. (the “Company”). Mr. Phelan’s resignation will be effective as of May 31, 2013 and he will have no further employment relationship with the Company after that date.
