Item 1.01

Entry into a Material Definitive Agreement.

On October 15, 2013, Carbonite, Inc. (the “Company”) entered into a Third Amendment to Loan and Security Agreement, dated as of September 30, 2013, with Comerica Bank (the “Amendment”), which amends the Company’s existing Loan and Security Agreement, dated as of May 11, 2011, with Comerica Bank, as amended to date (the “Original Agreement”). The Amendment extends the term during which the Company may borrow under the revolving line of credit contemplated by the Original Agreement through September 30, 2014.

The foregoing description of the Amendment is summary in nature and is qualified in its entirety by reference to the full text of the Amendment, a copy of which is filed as Exhibit 10.1 to the Current Report on Form 8-K and incorporated herein by reference.
