(formerly ARRIS Enterprises I, Inc.), a Delaware corporation (the Parent), and the Trustee, relating to the Companys 2.00% Convertible Senior Notes due 2026 (the Notes), this Tender Offer Statement on Schedule TO is filed with the Securities and Exchange Commission (SEC) by the Company with respect to the right of each holder of the Notes to require the Company to repurchase for cash on November 15, 2013 any and all of the Notes properly tendered and not properly withdrawn at a price of $1,000 per $1,000 in aggregate principal amount tendered (the Repurchase Right), pursuant to the terms and conditions of the Indenture, the Notes and the Company Notice to Holders of the 2.00% Convertible Senior Notes due 2026, dated October 17, 2013 (as it may be amended and supplemented from time to time, the Company Notice), attached hereto as Exhibit (a)(1).
