(a) Alcoa’s 2014 annual meeting of shareholders was held on May 2, 2014.

(b) Set forth below are the voting results for each of the matters submitted to a vote of the shareholders. As of the February 20, 2014 record date for the annual meeting, there were 1,077,996,174 shares of common stock outstanding and entitled to vote. There were 849,539,681 shares of common stock represented in person or by proxy at the annual meeting.
