Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On May 13, 2014, J.C. Watts, Jr. notified the board of directors (the “Board”) of CSX Corporation (the “Company”) of his decision to resign from the Board as a result of competing professional demands, effective immediately. There are no disagreements between Mr. Watts and the Company on any matters relating to the Company’s operations, policies or practices.
